Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Yapa POS website at https://yapapos.yapalabs.com, any pre-launch waitlist, and the Yapa POS mobile application (package: com.yapalabs.pos) provided by YapaLabs("we," "us," or "our"). By using our services, you agree to these Terms.

If you do not agree, do not use our website or application. Please also read our Privacy Policy.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use Yapa POS for business purposes. If you use the app on behalf of a business, you represent that you have authority to bind that business.

2. Pre-launch website and waitlist

Our coming-soon website provides information about an upcoming release. Joining the waitlist does not guarantee early access, pricing, or availability. We may change launch timing, features, or supported regions without liability to you.

3. License to use the app

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use Yapa POS for your internal business operations on devices you own or control. You may not:

  • Copy, modify, or create derivative works of the app except as permitted by law;
  • Reverse engineer, decompile, or attempt to extract source code except where prohibited by law;
  • Resell, sublicense, or provide the app as a service bureau to third parties without our written consent;
  • Remove proprietary notices or circumvent security measures;
  • Use the app for unlawful, fraudulent, or harmful purposes.

4. Accounts and authentication

Certain features may require signing in with Google or another provider we support. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

5. Your business data

You retain ownership of inventory, sales, receipt, and other business content you enter into Yapa POS. You grant us a license to host, process, and display that content solely to provide and improve the service. You are responsible for the accuracy of your data and for complying with tax, consumer protection, and record-keeping laws applicable to your business.

6. Acceptable use

You agree not to:

  • Interfere with or disrupt the service or other users;
  • Upload malware or attempt unauthorized access to our systems;
  • Use the service to infringe intellectual property or privacy rights;
  • Misrepresent transactions or process illegal sales.

We may suspend or terminate access if we reasonably believe you violated these Terms or pose a risk to the service or others.

7. Third-party services

Yapa POS may integrate with third-party services (including Google Sign-In and cloud infrastructure). Your use of those services is subject to their terms and policies. We are not responsible for third-party services outside our control.

8. Intellectual property

The app, website, branding, logos, and underlying technology are owned byYapaLabs or our licensors and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks except as needed to use the service as intended.

9. Feedback

If you submit suggestions or feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR SPECIFIC BUSINESS OR REGULATORY REQUIREMENTS.

Yapa POS is a tool to help you run sales and inventory. You remain responsible for pricing, taxes, receipts required by law, and payment processing outside the app unless we explicitly provide such features.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YapaLabs AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless YapaLabs from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your business data, or your violation of these Terms or applicable law.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the service. Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

14. Changes

We may update these Terms from time to time. We will post the current version on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance. For material changes to the app, we may provide additional notice in-app or by email where appropriate.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which YapaLabs is established, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue for disputes, except where consumer protection laws in your country require otherwise.

16. Google Play

If you download Yapa POSfrom Google Play, you also agree to Google Play's terms where applicable. In case of conflict between Google Play terms and these Terms regarding the app, these Terms govern your relationship with YapaLabs for use of Yapa POS.
